Participation Terms.
1. Operator
[OPERATOR FULL LEGAL NAME], trading as Founder Capital, operates the service as a sole trader from Plesostraat 245, Amsterdam, North Holland, Netherlands.
2. About Founder Capital
Founder Capital is a curated discovery and manual-introduction service focused on people building companies, their Current Ask, and their funded Ask history.
3. Eligibility
You must be at least 18 and legally able to use the service. You are responsible for complying with laws that apply to you.
4. Accounts and OTP authentication
Founder accounts use email one-time-password authentication. Keep access to your email secure and notify us if you suspect unauthorised use.
5. Founder profiles
A profile is personal to its founder. Founder Capital may provide private editing, preview, review, and approved publication tools.
6. Accuracy and responsibility
You must provide accurate, current, lawful information that you are entitled to share, and correct material errors promptly.
7. LinkedIn and external references
LinkedIn URLs are user-supplied references. Founder Capital does not scrape LinkedIn, use LinkedIn OAuth, or claim to verify careers.
8. Moderation and publication
Profiles remain private unless Founder Capital approves them and the founder chooses public visibility. Approval is discretionary and is not endorsement or verification.
9. Current Ask
A Current Ask states the amount sought and its purpose. It is an invitation to express non-binding Interest, not an offer of securities.
10. Exact private equity percentage
Every new or edited Current Ask includes an exact proposed equity percentage between 0.01% and 100.00%. It remains private to the founder and authorised administrators.
11. Public and private Ask information
The public site may show the Current Ask amount and purpose. It omits exact current and funded equity. Founder Capital may disclose private terms selectively after review.
12. Pre-company founders
A pre-company Ask describes an intention. No shares or other rights exist merely because a founder enters a percentage before an entity or valid instrument exists.
13. Funded Ask
Founder Capital may record an Ask as funded only after an authorised administrative decision. Recorded history does not prove payment, completion, or legal issuance.
14. Funded Equity meaning
Funded Equity is historical product language for equity associated with recorded funded Asks. It is not a cap table, ownership register, valuation, or legal confirmation.
15. Public Interest
Any visitor may submit a name, email, and optional message about a public Ask. Interest is non-binding and does not create a right to contact or an introduction.
16. Prospective-backer review
Founder Capital may review Interest and later request professional background, investment experience, investor category or status, and residency or jurisdiction information.
17. Private disclosure
Founder Capital decides whether further discussion and private disclosure of proposed equity are appropriate. Disclosure is confidential context, not advice or an offer.
18. Manual introductions
Founder Capital may make a manual introduction. Interest details are not automatically sent to the founder, and no introduction is guaranteed.
19. No fees currently
Founder Capital currently charges founders and prospective backers €0: no subscription, listing fee, commission, success fee, or transaction fee. Future fees require clear notice and updated terms.
20. No payments or custody
Founder Capital V1 does not receive, hold, transfer, route, or safeguard user money and does not record an in-app acceptance as payment.
21. No securities issuance
Founder Capital does not issue shares, options, tokens, convertible instruments, or other securities and does not operate a trading venue.
22. Separate legal agreements
Any actual sponsorship, investment, equity, or other rights must be created later by the relevant parties through appropriate separate legal agreements.
23. No professional advice
Founder Capital does not provide investment, legal, tax, accounting, regulatory, or financial advice.
24. No comprehensive due diligence
Moderation and prospective-backer review are limited service checks. They are not comprehensive identity, financial, company, investor, or legal due diligence.
25. Independent enquiries
Participants must conduct their own enquiries, verify relevant information, assess suitability and legality, and obtain independent professional advice where appropriate.
26. Early-stage risk
Early-stage projects are uncertain. They may fail, never incorporate, never issue equity, change terms, or lose all contributed value.
27. Acceptable use
Do not misuse the service, evade access controls, impersonate others, scrape data, submit unlawful or misleading content, harass people, or disrupt security or availability.
28. User content
You retain rights in content you submit. You grant Founder Capital the limited permission needed to store, review, format, and, when approved and selected as public, display it.
29. Intellectual property
Founder Capital's software, design, branding, and original materials remain protected by applicable intellectual-property law. No rights are granted except to use the service under these Terms.
30. Third-party services
The service relies on third parties including Supabase, Cloudflare, Railway, Resend, and user-linked websites. Their services and terms may apply independently.
31. Suspension and removal
Founder Capital may pause, hide, reject, suspend, or remove access or content where reasonably needed for safety, law, accuracy, security, or service integrity.
32. Account termination
You may request account deletion through Settings or by email. Some records may remain where law or legitimate recordkeeping requires it, as described in the Privacy Notice.
33. Service availability
Founder Capital may be interrupted, contain errors, or be unavailable. No continuous or error-free operation is promised.
34. Product changes
Features, review practices, and availability may change. A change does not alter an already executed agreement between third parties.
35. Disclaimers
To the extent permitted by law, the service and published information are provided as available without guarantees of accuracy, outcome, funding, introduction, performance, or fitness for a purpose.
36. Limitation of liability
To the extent permitted by mandatory law, Founder Capital is not liable for indirect or consequential loss or for decisions and separate arrangements between users. This draft limitation requires professional legal review and does not exclude liability that cannot lawfully be excluded.
37. Privacy
The Privacy Notice explains data handling, public and private information, retention, providers, rights, and necessary security technology.
Read the Privacy Notice.
38. Changes to Terms
Material changes receive a new version. Regular founder accounts may be required to accept updated Terms once before continuing in the private founder environment.
39. Governing law
These Terms are intended to be governed by the laws of the Netherlands, subject to any mandatory protections that apply to a user.
40. Disputes and jurisdiction
Parties should first try to resolve a dispute by contacting Founder Capital. Subject to mandatory law, disputes are intended for the competent courts of the Netherlands. Final venue wording requires professional review.
